*       As of December 31, 2011, the 35,155,362 shares of common stock beneficially owned by Mr. Steinhardt included (i) 835,000 shares of common stock issuable upon the exercise of options that were currently exercisable or would become exercisable within 60 days from December 31, 2011 and (ii) 1,150,000 shares held by The Judy and Michael Steinhardt Foundation for which Mr. Steinhardt served as a co-Trustee with Judy Steinhardt, with whom he shares voting and dispositive power. On February 8, 2012, in connection with the Issuer’s public offering, Mr. Steinhardt sold 2,350,000 shares as a selling stockholder and The July and Michael Steinhardt Foundation sold 1,150,000 shares as a selling stockholder. As of February 8, 2012, after giving effect to the public offering, Mr. Steinhardt beneficially owned 31,655,362 shares of the Issuer’s common stock.
